BY-LAWS
ARTICLE I NAME
The name of this organization shall be the Port Clinton Music Boosters, Inc.
ARTICLE II OBJECT
The object of this organization shall be to promote the musical interests of the students of the Port Clinton City Schools.
ARTICLE III MEMBERSHIP AND DUES
Section 1. All persons, other than students, who are interested in the objectives for which this incorporation is organized may become active members upon payment of the dues as provided in Section 2 of this article. Section 2. The minimum annual dues for membership shall be ten dollars ($10.00), whether joint membership (husband/wife) or single membership. The payment of dues entitles one to active membership. Section 3. Fiscal year for membership shall begin September 1.
ACTICLE IV OFFICERS
Section 1. The officers of this organization shall be a President, a Vice-President, a Secretary and a Treasurer, who shall be elected from the membership. These officers shall perform their duties as prescribed by these By-Laws, and by the Parliamentary Authority adopted by this organization. Section 2. All officers shall be elected by ballot at the April meeting of each school year, to serve in that office for a term of one year, but no more than two (2) consecutive years. Their installation shall take place at the May meeting of the school year. Section 3. No person shall be nominated as a candidate for any office nor selected as a chairman or member of any committee without his or her consent. Section 4. Vacancies occurring in any elective office shall be filled by election at the following regular meeting, providing a ten-day notice of such vacancy and election is given the membership.
ARTICLE V MEETINGS
Section 1. The regular meetings shall
be held on the second Monday of each month, from September to May
inclusive, unless specified otherwise by the Executive Board. At least a
three (3) day notice of all meetings shall be given the membership. Section 3. Special meetings may be called by the President and shall be called upon the request of three (3) members of the Executive Board. ARTICLE VI COMMITTEES
Section 1. All committees shall be appointed by the President, consisting of at least three (3) members to serve for one (1) year unless otherwise specified at the time of the appointment. Section 2. The standing committees of this organization shall be: A. Membership B. Publicity C. Programs and Projects D. By-Laws E. Nominating F. Auditing And any others as the need arises. Written committee reports shall be encouraged. Section 3. The President shall be an ex-officio member of all committees.
ARTICLE VII DUTIES OF OFFICERS
Section 1. The President shall preside at all meetings and carry on all duties generally prescribed for this office. Section 2. The Vice-President shall assist the President or serve as such, in the absence of the President. Section 3. The Secretary shall keep a record of the organization and shall perform such other duties as may be delegated. Section 4. The Treasurer shall make regular reports of all monies received and paid out, at all regular meetings. The books shall be audited annually.
ARTICLE VIII PARLIAMENTARY AUTHORITY
The rules contained in Robert’s Rules of Order Newly-Revised shall govern the organization in all cases to which they are not inconsistent with these By-Laws.
ARTICLE IX AMENDMENT TO THE BY-LAWS
These By-Laws may be amended at any regular meeting of the organization by a two-thirds (2/3) vote, provided the amendment has been submitted in writing at the previous meeting, or providing a ten (10) day notice is given the membership in writing previous to any meeting.
ARTICLE X SCHOOL REPRESENTATIVES
The faculty of the music department shall act as school representatives to this organization.
ARTICLE XI SCHOOL POLICY
These By-Laws shall be consistent with school policy. ARTICLE XII DUTIES OF TRUSTEES
Section 1. The members shall elect a Board of Trustees consisting of at least three (3) annually paid-up members. One trustee shall be appointed chairman for the purpose of conducting meetings and other business for the good of the organization. Section 2. Prior to each monthly meeting, the trustees shall oversee the paying of all expenses incurred by the organization by reviewing all purchase receipts previously signed by the recipient. Section 3. All purchases over one hundred fifty dollars ($150.00) shall be approved by the trustees prior to membership vote. Section 4. The trustees shall be responsible for maintenance and care of the concession stands; also custodial care of all uniforms and equipment purchased by Port Clinton Music Boosters, Inc. Section 5. The trustees shall appoint a special purchasing agent for the concession stands, with monies available for stocking and operation.
ARTICLE XIII INVESTMENTS
Section 1. The treasure shall be responsible for investment of monies accrued by the organization in a form that would best benefit the organization. Section 2. All certificates of deposits in the name of Port Clinton Music Boosters, Inc. shall have two of three names of either the Treasurer, President, or Vice-President on them for removal.
ACTICLE XIV BONDING
The treasurer and the chairperson of the fruit sale shall be bonded.
